SoftEmbed Technologies provides:

• Custom software development services
• AI analytics and machine learning solutions
• Embedded systems development
• SmartCommerce Suite and other software products
• Consulting and technical support services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Accounts and Registration

When creating an account or using our Services, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials

Your Intellectual Property

For custom software development projects, ownership of deliverables will be specified in separate project agreements. Unless otherwise agreed in writing, you retain ownership of your data, content, and materials provided to us.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes only.

6. Payment Terms and Fees

If you purchase Services from us:

• Fees and payment terms will be specified in separate agreements or invoices
• All fees are in GBP (British Pounds) unless otherwise stated
• Payment is due within the timeframe specified in your agreement
• Late payments may incur interest charges and suspension of Services
• All fees are non-refundable unless otherwise agreed in writing
• You are responsible for all taxes, except those based on our net income

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect existing contracts or active subscriptions.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of business. This includes technical data, business plans, customer information, and any information marked as confidential. Confidential information must not be disclosed to third parties without prior written consent, except as required by law.

8. Warranties and Disclaimers

Limited Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for software products will be detailed in separate agreements.

9. Limitation of Liability

Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless SoftEmbed Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your breach of applicable laws or regulations

11. Term and Termination

These Terms remain in effect while you use our Services. Either party may terminate:

• With 30 days' written notice for convenience
• Immediately for material breach of these Terms
• Immediately if required by law

Upon termination, you must cease using the Services and return or destroy any confidential information. Sections that by their nature should survive termination will remain in effect, including confidentiality, intellectual property, warranties, and liability limitations.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good faith negotiation for a period of 30 days.

13. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

14. General Provisions

Entire Agreement

These Terms, together with any separate agreements for specific Services, constitute the entire agreement between you and SoftEmbed Technologies.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or government actions.
